Rangers EGM – No Decision Yet – Blue Pitch Holdings In Talks With Rangers

In the flurry of Rangers activity, we were awaiting the contentious EGM, designed to place Mr Easdale and Mr Morgan on the Board at the instance of Blue Pitch Holdings.

Maybe the appointment of Walter Smith as Chairman has allowed the possibility of harmony, just in time, entirely coincidentally of course, for season ticket sales to happen!

Update re Requisition of General Meeting

On 16 May 2013, the Company announced that it had received a notice requisitioning a General Meeting of shareholders. The Company is engaged in discussions with a representative of the requisitioning shareholder and the timetable for posting a notice to shareholders has been extended with the agreement of the requisitioning shareholder.

Further announcements will be made as appropriate.

Only with the agreement of the requisitioning shareholder is it permissible to delay the EGM. Maybe all of the Boardroom disagreements have been resolved. Maybe all concerned want to make sure that the money comes in from the fans. Maybe everyone just wants to concentrate on football!

Maybe this is a sticking plaster over a gaping wound, which will open up again very soon.

Who knows?

    the rangers.fc Have not been misrepresenting our history with our advertising campaigns thus making us still the most successful domestic club in the world .

      Just because 78 dafties thought they could score a hit via the ASA doesn’t mean their “ruling” has any bearing on the old/new club debate. That’s completely laughable. They regulate advertising standards (clue is in the name) they have no jurisdiction whatsoever on anything remotely football related, like the status of a football club or whether liquidation counts as terminstion of a club. Are you telling me you’d have accepted the matter as settled if the ASA had ruled that their standards were infringed by the “history” claims of The Rangers? Of course not. Nor should you have. The ASA decision settles nothing in that debate, was never going to. Its just yet another piece in the jigsaw, not even a corner piece.

          A club has to wait until it is a member of its national association for 3 years before UEFA allow it to participate in any UEFA competition. That is UEFA’s position.

          It follows that as The Rangers are not eligible for consideration until they have existed as a member of their national association for three years UEFA consider The Rangers to be a different club from Rangers.

          They have this rule in place that specifically does not recognise a change of structure where it is done to facilitate entry and undermines the integrity of the UEFA competition.

          Had the SFA similar concerns for Scottish football competition they would have the same rule
          Well they have actually for SPL clubs in that UEFA FFP licensing standards apply but not to lower league clubs where club licensing differs and is not policed as rigorously as UEFA police their rules when it comes to the integrity of UEFA competition.

          Its all in UEFA FFP 2010 Article 12 of Chapter 2.

        Sorry Tsuki, you are wrong. The ASA make clear reference to the facts which lead to the ruling regarding the complaint about misleading advertising. In doing so, they clearly explain why the club is the same as its always been. Seriously, how many Authorities have to say the same thing before the Celtic hate mob will understand?!?! Next investigation will be by MI5 or the FBI presumably lol, spurred on by 78 legal eagle football supporters. Aye right. And what’s the jigsaw you are referring to???       When Celtic advertise as Scotland’s most successful Club we will see if that holds any water. The ASA will be forced into a very public stand down and you will be claiming it’s all Peter Lawell and Opus Deis fault for the ASA change of heart, the reality is they jumped to a decision based on fear and favour which cannot stand up to any logical or legal scrutiny.

      In other news nearly 5% knocked off the market cap yesterday. After a number of days bubbling at just above 56p the share price closed at 54 deid! Nothing to do with the fact RIFC appear to have only just discovered (Lse announcement yesterday) that Mr. Charles promised to sell almost .75m of his shares last October before the IPO? I wonder if the Easdales knew they weren’t getting all of his shares when that agreement was made?

      Why mention the club. The EGM is called for the Company which owns the Company that owns the club. There is no EGM called for the club.

      Why “Company or Club”, surely there is not a choice.

    Paul, enjoy the blog. I’m a wee bit alarmed at a blog ive recently read from gallus pioneer on wordpress about celtics real annual accounts. He seems to suggest Celtic have hidden and mortgaged 40 odd million in debt on the stadium and has provided images of accounts etc. This could do with your forensic skills. If this is true it means Peter lawwell has been lying to fans and shareholders. Potentially a massive story

      – The Celtic newco set up in 2001 is the main trading company. It receives all the income and pays all the players and costs.

      – But remarkably, the Celtic company from 1897 owns the stadium and owns the players, in other words the players are owned by one company (1897) and paid by another company (2001).

      – The 1897 company does not receive the matchday income, or the media, UEFA, merchandise or any other income.

      – The 1994 newco describes its activity as “football club management” and may therefore be involved with the football club licence, but otherwise is not the main trading company.

      BACKGROUND TO THE 3 COMPANIES

      Original 1897
      Celtic plc – company number SC003487, incorporated in 1897, formerly called The Celtic Football and Athletic Company Limited

      Newco 1994
      The Celtic Football and Athletic Company Limited – company number SC153534, incorporated in 1994, formerly called Pacific Shelf 595 Limited

      Newco 2001
      Celtic FC Limited – company number SC223604, incorporated in 2001, formerly called HMS (402) Limited

      When Fergus McCann took over in 1994, the original 1897 company changed its name and reregistered as a plc. The new name (Celtic plc) did not change anything – that was, and is, the original 1897 company, albeit with a change of name.

      At the same time, the 1994 newco was set up, and is the “football club management” company. It was owned by the 1897 company.

      Later the 2001 newco was set up. It was (and is) owned by the 1897 company. At the same time, ownership of the 1994 newco was transferred from the 1897 company to the 2001 newco. So the structure is: the 1897 company owns the 2001 newco, which in turn owns the 1994 newco.

      WHY THE 2001 RESTUCTURE?

      Obviously we can’t know the full picture, but an obvious result is that the losses since 2001 (an incredible £32million) gets reflected in the profit and loss reserve of the 2001 newco which has been trading since then. This keeps that £32million of losses away from the 1897 company’s profit and loss reserve.”

        Never liquidated in it’s long history no matter what business structure the football club and companies that are involved with the running of it. Rangers on the other hand club and company were liquidated assets sale to highest bidder. Could have been bought by anyone it was not a football club but assets of a former football club was not sold with football membership or football players. All staff were aloud to leave contracts ripped up. New owner could do what ever they wanted with the assets. They decided to start a new football club. They asked for membership to SPL but were told to fuck off. They then went begging to the SFL who thought they could make a few quid out of it and said okay. Now I just can’t remember that ever happening the the Glasgow Celtic.

If Lawell wanted to he would have bought the Club off Murray for a poxy pound and destroyed it and damaged it at will. But why bother when Murray brought in Whyte to put it out of its misery. If Lawell wanted to he would have bought the assets and used Ibrox for our youth games and they wouldn’t even have their Tribute Act, you think they would be thankful that Celtic showed them such undeserved mercy.

      • I’m sure this was the year celtic had a share issue,which was underwritten in the most part by Dermot Desmond and his Irish consortium.i don’t know how many fans took up shares,but don’t think there was many.i think This is why the name changes in 2001,it is also the time when oneill went on his spending spree,and was forking out,6m for Hartson etc. We enjoyed great success on the pitch,but as with rangers it was getting to be unmanageable debt,and it had to stop.Hence the plans put in place by lawwell and given to starchan and now Lenny.
        Scottish football cannot then or now,meet the financial obligations of the old firm.That is why champions league money is critical,without it and that of any European income,it is dangerous times,for our clubs.

      I have read that blog before and I don’t think it holds water. For example, on one of the entries, it shows an extract from the Celtic’s 2012 balance sheet: income £37520000 expenses £31657000. I am not an expert in such matters but I believe this shows a profit of £5863000 (as was widely reported when the accounts were made public) but the blogger believes this shows a loss of £31657000.
      I believe that particular blog has been discussed and discredited on here before.

      Peter Lawwell is not lying and for this to be true it would need more than him to be lying and the most inept and corrupt auditors ever.

      Ther is nothing here but wishful thinking and accounting ignorance, or just mufd slinging.

      The analysis of the structure shows The Celtic PLc having subsidiary companies, nothing sinister in that, in fact a normal situation.

      The subsidiaries have trading income and expenditures and produce their own accounts. They trade with the PLC and perhaps among one another. Once again normal.

      The following is from the notes to the accounts:

      ‘Celtic plc undertakes related party transactions with its subsidiary company Celtic FC Limited which are governed by a management
      services agreement. This agreement covers the recharge of certain direct expenditure and or income from Celtic plc to Celtic F.C. Limited
      and the rental of certain properties at Celtic Park to Celtic F.C. Limited. Amounts recharged in the year by Celtic plc to Celtic F.C. Limited
      was £14.35m (2011: £18.97m). The balance outstanding at the year end is disclosed in Note 20″

      In producing the Consolidated Accounts for Celtic PLC the accounts of the PLC and its Subsidiaries are consolidated. Consolidation will eliminate the Intra Comapany trading. The cost shown in the FC accounts for the above agreements will be netted with the revenue shown in the PLC accounts.

      The fact that the FC is mentioned as a sub would alert even the dimmest Auditor to its existence and they are all over the consolidation process like a rash.

      Perhaps the Gallus Pioneer needs to get an accountant to glance at his stuff before publishing.

      You seem to be missing the point, like you “I thought the whole club v company thing was Kinda put to bed”, though it seems someone in Rangers disagress!!!!

      Whilst I would like it to be the case, I am not one of the ‘Rangers died’ brigade, as I have accepted the ‘The Rangers’ arguement that the club and the company should be construed as seperate entities, and understand this is the position of all the organisations you claim say the history is unbroken.*

      HOWEVER, what we have here is an offical corporate communique from RIFC plc, stating that for the purposes of the following message that (in this case) the club does mean the company! Which to me is quite simply bizarre, as not only does this go against the previous statements of the company, the company doesn’t even own the club, they own the company, that owns the club!

      If only RIFC plc employed somebody to be in charge of media and communications, then we could be saved all this petty arguement.

      * – I only accept the current ‘The Rangers’ club as a continuation of the previous ‘Rangers’ club as the ‘Five way agreement’ (between Sevco, RFC plc, SFA, SFL, & SPL) seems to allow for this. Though whether this will continue to be the case if it were to transpire that one of the corporate identities of Rangers was in breach of this agreement is another matter. Though as Stuart Regan has ppreviously stated he feared “social unrest”** if there was to be no Rangers, I doubt Rangers would be held accountable.

(translated means to keep hold of tens of thousands of customers & keep one’s home’s windows & kneecaps intact!). To give the cheats special treatment has been great for our game!! What a walloper!     TWO ME OR NOT TWO ME

    Ok, so The Rangers haven’t made a decision about an EGM, but I made a decision yesterday! I changed my name!! Phoned all my creditors and told them I’m not me, I’m somebody else, so they can whistle for their money ha ha. Would you believe it, I had to repeat myself, so I explained to them, in language that a golden labrador would understand, that I am not me because my name is me and I have changed it so that makes me a different me which means that the me that owed them money was some other me, not me. Now the old me is a new me. Simples.

    Then I got a phone call from a bolshy education authority and some ancient Universities asking for the return of the qualifications that belonged to that other guy who owes people money and I claim is not me. Bloody nerve! I tried to explain to them that although I am a new me I’m still the old me because my name is not me because I am me; but if it’s all right by them then I’d still like to be known by my old name because if I’m not me then who the hell am I? I offered them money for the qualifications that belonged to the old me to make me me and they told me – the new me, that is – to take a hike. Bloody cheek!

    Then one of the fellas was really nice when I bunged him a tenner and he told the new me about a friendly website called Sertificates_For_All.con and they said ok we know you’ve changed your name and you have no debt because you are no longer the old you but a new you who wants to be known as the old you with the same qualifications as the old you, and so here’s a nicely embossed print-out of the qualifications you had and we’ve even put on it the old name that you’ve changed – and we’ve included a wee covering letter to say that the new you is the old you without the historical debt of the old you but with the historical qualifications of the old you. Did warn me not to find myself in a real court. Says if that happens then games-a-bogie – I’ll have to give my real name! Anyway, now the new me is the old me again. Simples.

      Rangers are Rangers are Rangers. It doesn’t matter how many liquidations the ahem “holding company” goes through. Rangers can walk away from their debts any time they want to, without penalty or even disapprobation (cam – that means to thinkly badly of). If it wasn’t for us genuine Scottish football supporters, Sevco would be in the SPL counting the money the new owners effectively stole from the creditors of the predecessor club. My heart swells with pride when I recall how Scottish Football, outside of the Govan/Regan axis of evil, stood up to protect sporting integrity. Everyone of you – take a bow!

      On the subject of the EGM, the competing factions have at last found a common interest – taking easy money off the honest supporters so that they can siphon it off to their retirement plans just like admitted swindler and trickster Charles Green

    this EGM not just some diddy meeting no-one needs to know about, it`s an explanation of what and where the finances are going on a month to month basis-this is a Major concern for Rangers, this is about business remember?-that pesky thing that sunk you last time?
    ger`s fan`s should be demanding an explanation, the shareholders should be demanding an explanation of where/what`s been done with their money!

      The place they can go to get assurance is the SFA. They need financial info in order to grant a club licence for this season.
      They are able to make some of what they are told public ( its in the club licensing rules and looks like something new.)

      So instead of trusting Smith ask the SFA if they trust The Rangers are telling the SFA the truth and will they reimburse any unused ticket costs if SFA are wrong in their judgement.

      Its not just Ibrox the spivs reside, there are some at Hampden.

            It’s just a random coincidence, based on a pro rata basis,calculated at a share price of 1,690,000 penny shares.The agreed figure that Paul arranged with me in the KOSC club in Blantyre,was to provoke reaction,cause chaos and set myself up for ridicule.I hace achieved these aims.The lock in period is now up and i can leave and cash in my Random Thoughts chips.

    If you visit sevco fc, or if you work in one, you would know that public transport is the cheapest and often easiest way to get around. Nowadays, even IOUbrox have low floor, air conditioned buses for public transport.

    In most cases, the buses would be crowded and if the distance you have to travel is more, nothing is more unpleasant than standing for the whole journey. You would be jostled, be a potential target for pickpockets among other inconveniences. Here are some simple steps to get a seat for yourself in a crowded bus:

    As was clear from the links I provided:

    The “Club” (the company) was then placed into compulsory liquidation. “At the end of the nine month period the original legal entity, which traded as the Club, will be placed into Liquidation.” (Confirmed here http://companycheck.co.uk/company/03747237)

    To the “club=legal entity” crew, the answer MUST be 2010! Surely…

    But no…

    I don’t consider myself a brave man, nor am I a seeker or justice or truth like so many of my counterparts on other side of the Old Firm. But I can no longer stand by and watch the club I love be ruined by hate and bigotry.

    As a responsible law abiding Rangers fan who supports his club through thick and thin I feel it is my duty to expose the secret truths of Rangers Football Club in a bid to cleanse it forever of its toxic elements. Although this may be hard and shocking for some of you to read, I am going to lay bare the truth behind some of the songs, statements and style of Rangers.

    Let’s start with one you will all be familiar with but may be unaware of its secret meaning: We Are the People. It sounds harmless right? Wrong.

    “We are the People” of course refers to Unionist leader and first Prime Minister of Northern Ireland, James Craig, who in 1921 declared that NI would be “a Protestant State for a Protestant People.” He made this declaration after a conversation with Bill Struth, who of course had taken over as Rangers manager the previous year.

    A little known fact is that James Craig was a keen footballer before entering politics and almost became Bill Struth’s assistant at Ibrox. When the two friends met up in secret they often discussed their proud Catholic hating Protestant roots and had regular meetings of a secret club known as “We Are the Protestants” (WATP) preceded by many a secret handshake. Struth decided this was too contentious a name and We are the People was born and exists as an anti-Catholic masonic organisation run from within the corridors of Ibrox to this day.

    The Club logo fills us all with pride. The colours, the words, the lion – they all hold a special meaning to Rangers fans worldwide. But it also holds more sinister secrets you might not be aware of.

    It should also come as no surprise that the WATP Organisation were behind a plot named the “Ready to Destroy Ireland” movement of 1973, or simply, “Ready,” which is why it now appears on the club crest.

    Rangers new boy Nicky Clark this week declared “I’m ready for round two.” This was a sickening secret anti-Irish comment from Clark who was inducted into the WATP Organisation just six days earlier. Not only that, but the lion which stands so proudly on the badge that is printed on your child’s shirts and t-shirts every year, covering their now vile and twisted bigoted little hearts, is a nod to the Norman invasion of Ireland in 1169, and more specifically Henry II, who in 1171 took Dublin and accepted the fealty of the Irish kings and bishops and was known simply as The Red Lion in Ireland from then on.

    Some of our unacceptables you may be more aware of is found in the song book. Our love of the song “Penny Arcade” is again sadly attributed to religious hatred and due to the death of a Catholic man in Belfast in 1986 in an amusement arcade. I can’t confirm this but my source tells me Gazza may have been the main culprit.

    As many of you are aware the Beach boys hit “Sloop John B” has been taken on by Rangers fans as Carl Wilson and cousin Mike Love were fierce bigots and good Rangers men. The “Blue Sea of Ibrox” as we all know is about drowning Catholics in the Irish Sea, not at any specific time or anything; we just pure love doing that.

    Our traditional red and black socks are perhaps the most secret and disgusting vile act of Sevco-hun-bigotry in the Club’s history. First worn in 1904, they were the work of Moses McNeil, who wanted a way to express his feelings toward the people he hated the most: Blacks and Fenians, thus the black sock with the red trim. The black symbolised that there were too many African Americans in the USA (McNeil of course was a founding member of the second Ku Klux Klan in 1915) and the red to show that we were up to our knees in Fenian blood, which to this day is where we and our socks remain.

    Now that the light has been shined on just a few of the many, many shameful practises at Rangers Football Club I hope you will join me in our progress, and that us good law abiding fans can move forward in peace.

    The ASA would not have any complaint if Celtic were to also call themselves the most successful club in Scotland as it is not misleading. It does not offer ANY substance to Rangers fans argument.

    This table shows the calculation of the UEFA team coefficients, which are determined by the number of points added to 20% (before 2009 33%, and before 2004 50%) of the country coefficient. Since 1999 lines with country info (yellow) indicate the lowest possible value for any team of that country. Before 1999 these coefficients were given by the number of points divided by the number of matches. The coefficients of 5 succesive years are used for the UEFA team ranking. The used acronyms for Cup are: CL=Champions League, EL=Europa League, UC=UEFA Cup, CWC=Cup Winners Cup. The sequence of the teams is based on the coefficient, and secondly on the number of matches. Teams still in competition are indicated with a blue color, and teams from active countries are indicated with a green color. For more info see Coefficient calculations.
